Direct Seller Agreement

A. Parties to the Agreement

This Agreement is signed on _____ between Active World, a Direct Selling Entity having its Registered Office at Berhampore, Murshidabad, West Bengal, India.PIN - 742101 (hereinafter referred to as the "Direct Selling Entity" or "Company"), which expression shall include its successors, administrators, liquidators, assigns, and legal representatives of the FIRST PARTY;

AND

Shri/Smt. ______ aged __ years, S/o D/o W/o ______, House/Post ______, Street ______, Area ______, District ______, State ______, PIN ______ (hereinafter referred to as the "Direct Seller"), which expression shall include his/her heirs, executors, administrators, assigns, and legal representatives of the SECOND PARTY.

B. Appointment

The Company hereby appoints the Independent Distributor/Direct Seller to market, promote, and sell the Company's products in accordance with the terms and conditions mentioned in this Agreement.

C. Responsibilities of the Distributor

The Distributor agrees to:

  • Promote and sell the Company's products diligently and honestly.
  • Follow all Company policies, rules, and procedures.
  • Maintain ethical business practices while representing the Company.
  • Participate in Company-provided training programs and business meetings.
  • Comply with all applicable laws, Direct Selling Rules, and Government regulations.

D. Company Support

The Company agrees to provide:

  • Product information and training materials.
  • Sales tools and business guidance.
  • Necessary support to help the Distributor perform effectively.

E. Sales and Compensation

The Distributor shall earn commissions and bonuses based on sales generated.

Compensation shall be governed strictly according to the Company's Compensation/Business Plan.

Payments shall be made as per the Company's payment schedule and policies.

F. Term and Termination

This Agreement shall commence from the Effective Date and remain valid until terminated.

Either party may terminate this Agreement by providing 30 days' prior notice.

The Company reserves the right to terminate the Agreement immediately in case of:

  • Violation of Company policies.
  • Illegal activities.
  • Unethical conduct.
  • Misrepresentation of products or business opportunity.

G. Confidentiality and Intellectual Property

The Distributor shall maintain confidentiality of all Company information.

The Distributor shall not misuse the Company's:

  • Trademarks
  • Trade names
  • Logos
  • Trade secrets
  • Marketing materials

Unauthorized use of Company intellectual property is strictly prohibited.

H. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of India.

Any dispute arising under this Agreement shall first be resolved through mediation in Berhampore, West Bengal, India.

If unresolved, the matter shall be settled through arbitration as per applicable Indian laws.

I. Force Majeure

If the performance of obligations under this Agreement is prevented or delayed due to events beyond reasonable control, including but not limited to:

  • War, Hostility, Public disorder, Government restrictions, Epidemic/Pandemic, Lockout or strikes, Fire, Flood, Natural disasters, Act of God

then neither party shall be held liable for such delay or non-performance during the affected period.

Services under this Agreement shall resume as soon as reasonably possible after such event ceases.

J. Entire Agreement

This Agreement constitutes the complete understanding between the parties and supersedes all previous oral or written agreements related to the subject matter.
